Scope of the document
These Terms exclusively govern navigation on the site wayoutapp.it and registration to the pre-launch waitlist. They do not regulate the purchase of Founder Pass, regulated by separate Pre-sale and sale conditions, nor the use of the WAYOUT app after the go-live, which will be governed by dedicated terms and policies.
Please read these Terms carefully before using the Site or completing the Waitlist registration. The Terms are not required for simple consultation of public pages; By completing and sending the registration form, the User requires the inclusion in the Waitlist and accepts these Terms.
1. Definitions
For the purposes of these Terms:
- “WAYOUT” or “Society”: WAYOUT S.r.l., owner and operator of the Site and Waitlist;
- “Sito”: the website accessible by the domain wayoutapp.it and its pages and subpages;
- User: the natural person who visits the Site or uses one of its features;
- “Waitlist”: the pre-launch list by which an older user manifests interest in the future WAYOUT service;
- “A valid user”: the User who has provided a valid email address, has accepted these Terms, has confirmed the address through the verification link sent by WAYOUT and has no duplicate, abusive, fraudulent or automated inscriptions;
- “Waitlist Pass”: the potential free promotional benefit of limited duration that includes the Join and Creator features made available in the app, reserved for valid Users who meet the conditions set out in Article 7.
- “Go-live”: the date on which the WAYOUT app is publicly available in the pilot city indicated by the Company.

3. Scope, acceptance and proof of the Terms
3. These Terms govern access to the Site, use of public forms, registration and stay in Waitlist, as well as any attribution of the Waitlist Pass.
3.2. A Waitlist registration request is submitted when the User: (i) enters an email address; (ii) has the opportunity, before submitting, to read these Terms, the Privacy Policy and the short-form notice; (iii) accepts these Terms; and (iv) submits the form. Marketing consent, where offered, is optional and separate. Registration and the related position become effective only after the email address is confirmed through the verification link sent by WAYOUT. The Privacy Policy provides information and is not subject to consent.
3.3 WAYOUT can store, in compliance with Privacy Policy, the elements necessary to document the registration and acceptance, including date and time, version of the Terms, origin of the event, technical identification and, when necessary and proportionate, IP address and user agent.
3.4 You may consult, save or print the Terms at any time. The applicable version is accepted at the time of registration, unless subsequent updates are validly communicated pursuant to Article 18.
3.5. In case of contrast, the Pre-sale and sale conditions Founder Pass purchases prevail; future App Terms prevail over the use of the app and social features after the go-live.
4. Age and capacity requirements
4.1 The future WAYOUT service, Founder Pass pre-sale and benefit activation are reserved for people who are 18 years old. By enrolling in Waitlist, the User declares to be an adult; the date of birth is not collected in the waitlist form and the 18+ requirement is verified in subsequent purchase or activation flows.
4.2 WAYOUT may request the date of birth and further reasonable checks in subsequent purchase, account creation/recognition or benefit activation, before confirming access to services reserved to seniors.
4.3 Minors can't sign up for Waitlist. If WAYOUT detects or has reasonable reasons to believe that an inscription concerns a minor, it may refuse or remove it and process its data according to Privacy Policy and the applicable legislation.
5. Nature of the Website and the project
5.1 The Site presents the WAYOUT project, collects events of interest, allows to subscribe to Waitlist and, through separate pages and conditions, can allow access to the pre-sale of Founder Pass.
5.2 WAYOUT is designed as a digital social platform for adult users. As a rule, WAYOUT is not a venue, does not directly organise third-party events, does not book admission, guest lists or physical tables, does not sell tickets, drinks or refreshments, and does not collect amounts owed to venues, unless expressly stated for a specific initiative or partnership.
5.3 The Site describes features and objectives of a pre-launch service. Unless expressly qualified commitments such as binding, roadmap, dates, screenshots, examples, numbers and representations of experience are indicative and can evolve during development.
5.4 The subscription to Waitlist does not constitute purchase, booking of services at premises, entrance fee, guarantee of participation in events or conclusion of a contract for the use of the app.
6. Registration, position and management of the Waitlist
6.1 The Waitlist registration is free of charge and does not involve any obligation to purchase a Founder Pass or other services.
6.2 In the Waitlist form only a valid email address is required, in addition to the acceptance of these Terms; any marketing consent is optional. Population data, date of birth and telephone number are required, if necessary, only in subsequent purchase or activation flows.
6.3 Only one registration per person is allowed. Duplicate enrolments are not allowed through different email addresses or addresses, inscriptions on behalf of third parties without authorization, automated inscriptions, fictitious accounts or attempts to alter the availability of places.
6.4 The Waitlist position is assigned, as a rule, according to the date and time when the email address is confirmed via the verification link. The simple sending of the form, without verification of the email, does not attribute a definitive position or a benefit.
6.5 If an inscription is incomplete, duplicated, referring to a minor, manifestly false, fraudulent or abusive, WAYOUT may exclude it from counting and make the relevant place available again.
6.6 The Waitlist remains available until the expected capacity is reached, except temporary unavailability due to maintenance, safety, prevention of abuse, regulatory adjustments or technical problems. The only reception of the form does not attribute a place when the capacity is already exhausted or the email address has not been verified correctly.
6.7 You may at any time request the cancellation from Waitlist by writing to amministrazione@wayoutapp.it. Cancellation involves loss of location and any benefits not yet activated, except as provided by applicable legislation and Privacy Policy.
7. Waitlist Pass Free
7.1 The Waitlist Pass is a free promotional benefit reserved, unless otherwise formal communication, to the first 2,000 valid Waitlist users.
7.2 The Waitlist Pass lasts 60 days from successful individual activation in the app, which can take place from go-live. During its validity period, the benefit includes the Join and Creator features made available in the app, including the ability to create and manage digital tables and their participation requests, subject to the rules, limits, terms of use, security and moderation measures applicable to the service.
7.3 To receive and activate the Waitlist Pass, the User must, within 30 calendar days of the email with which WAYOUT communicates the availability of the benefit, unless a longer term indicated in the same communication: create or complete the account in the app; maintain the age requirement; complete the actual checks; accept the Terms of the App and see the applicable policies and policies; use a compatible device and app version.
7.4 The Waitlist Pass is personal, non-transferable, non-renewable and free of monetary value. It cannot be converted into money, credit or services of third-party premises.
7.5 The Waitlist Pass is not combinable with a Founder Pass purchased in pre-sale, with any Launch Offer or with other promotions, unless otherwise indicated by WAYOUT. If you purchase a Founder Pass, the relevant conditions apply and the free benefit is not added to your purchased duration.
7.6 The Waitlist registration does not automatically attribute the Waitlist Pass. The benefit is only for Users who fall within the first 2,000 valid Users and correctly complete, within the communicated deadline, all the required requirements. Incomplete, duplicate, minor, fraudulent, automated or data-based registrations are not considered valid for the benefit.
7.7 The Waitlist Pass does not guarantee the availability of specific tables, creators, local or social occasions, or acceptance at a specific table, entry to third-party premises, personal compatibility between users or a given social result.
7.8 As the Waitlist Pass is free of charge, any failure to launch the project or app does not entitle you to refunds of the benefit or to monetary compensation. The mandatory rights provided for by law and any rights arising from separate purchases, governed by Pre-sale and sale conditions.
7.9 The technical modes of activation or use of the benefit can be adapted for objective reasons of safety, compliance, compatibility or development. WAYOUT preserves, as reasonably possible, the duration and essential function of the benefit and communicates clearly any substantial changes.
8. Service and marketing communications
8.1 The Waitlist registration involves sending the necessary communications to manage the request of the User, including confirmation of the registration, essential updates on the status of Waitlist and launch, instructions for the activation of the Waitlist Pass, security alerts and relevant changes to these Terms.
8.2 Such service communications are distinct from promotional communications. Newsletter, commercial offers, promotions and campaigns related to pre-sale or other initiatives will be sent only on the basis of a separate, optional and revokeable marketing consent.
8.3 The revocation of marketing consent does not automatically delete the registration to Waitlist and does not prevent the sending of communications strictly necessary to manage it. You may, however, request the cancellation from Waitlist under Article 6.7.
8.4 The methods of processing data and revocation of consent are described in Privacy Policy.
9. Obligations and User Responsibility
The User undertakes to:
- use the Site and Waitlist in a lawful, correct and conform to their purpose;
- provide true, up-to-date and non-deceptive information;
- do not use third party data or addresses without a legitimate basis;
- maintain control of your email box and contact details;
- do not perform activities that may compromise the security, integrity, availability or performance of the Site;
- report without delay any unauthorized use of your contact details or vulnerabilities, avoiding exploiting or divulging them in a malicious manner;
- comply with applicable legislation, WAYOUT rights and third party rights.
10. Prohibited uses
It is forbidden, for example:
- attempt unauthorized access, circumvent security measures, introduce malware or interfere with the operation of the Site;
- use bots, scripts, scraping or automated systems to subscribe, collect data, alter heads or replicate content, unless written permission;
- provide false identity or data, create multiple inscriptions, resell or transfer positions and benefits;
- send through forms illicit, threatening content, defamatory, discriminatory, fraudulent, offensive or detrimental to others' rights;
- use trademarks, content or distinctive signs of WAYOUT to suggest non-existent partnerships, approvals or authorizations;
- use the Site for unauthorized commercial purposes, spam, phishing, abusive data collection or other unlawful activities.
11. Pre-sale and Founder Pass purchased
11.1 Any purchase of a Founder Join 12M or Founder Creator 12M constitutes a separate relationship governed by the Pre-sale and Sales Terms, the “How Passes Work” page, the pre-contractual information shown at checkout, and the rules on withdrawal and refunds.
1 These Terms do not replace the economic and contractual conditions of the purchase. In case of a dispute relating to payment, duration, decoration, invoicing, withdrawal or refund, the Pre-sale and sale conditions applicable to the order.
11.3 The subscription to Waitlist does not require the User to purchase and does not guarantee the availability of Founder Pass, which may be subject to quantitative or economic caps.
12. Locations, users and third parties
12.1 Unless otherwise expressly stated, WAYOUT is not affiliated to the premises mentioned or represented on the Site and is not part of bookings, payments or reports concluded independently between creators, locals or other third parties.
12.2 Access, prices, availability, entry rules and services offered by locals or other third parties remain governed by their respective subjects and may change. The User must verify directly with the relevant provider the applicable conditions. WAYOUT remains responsible for information and services directly provided by the Company within the limits provided by law.
12.3 The Site may contain links to external sites or platforms. These services are managed by their respective owners and governed by their conditions and information. Access is voluntary and WAYOUT does not manage or control the operation of external services, subject to the law for content or conduct directly attributable to the Company.
12.4 Any qualifications such as “partner”, “official” or equivalent will be used only in the presence of a specific report or actual confirmation.
13. Intellectual property
13.1 Trademarks, names, logos, texts, graphics, images, videos, interfaces, layout, code, databases and content of the Site are owned by WAYOUT or used on the basis of licenses and are protected by applicable legislation.
13.2 The User is allowed only personal and non-commercial consultation of the Site. It is forbidden to reproduce, modify, distribute, extract systematically, communicate to the public, create derivative works or exploit content without authorization, unless permitted unduly by law.
1 Sending comments or suggestions does not transfer to WAYOUT rights to third party content. You must avoid transmitting confidential or protected materials without authorization.
14. Site availability, maintenance and security
14.1 WAYOUT adopts reasonable measures to maintain the Site available, intact and secure. Like any online service, the Site may be temporarily unavailable or present errors, even in relation to devices, browsers, networks or specific configurations.
14.2 Interruptions or temporary restrictions may occur for maintenance, updates, security, abuse prevention, regulatory adjustments, supplier problems, force majeure events or other objective technical and organizational needs.
14.3 When reasonably possible, WAYOUT reduces the duration of interruptions and communicates those planned or particularly relevant. The features, pages and pre-launch content can evolve, respecting the information expressly binding and the rights already accrued.
15. Declarations and guarantees
15.1 The contents of the Site have informative and promotional purposes related to a project in pre-launch phase. Without prejudice to the expressly binding information and mandatory rights of the User, WAYOUT does not guarantee specific launch dates, minimum number of users, tables or experiences, availability in each city, or personal or social results.
15.2 Screenshot, prototypes, examples and descriptions can represent development features and do not guarantee that each element will be available in the same form as the go-live.
15.3 The launch dates indicated on the Site or in communications are estimates, unless expressly defined as binding terms under specific conditions.
16. Responsibility of WAYOUT
16.1 WAYOUT responds to its conduct and obligations directly attributable to the Company under applicable law. Within the limits permitted by law, WAYOUT is not liable for interruptions, delays or malfunctions caused exclusively by networks, devices or software of the User, telecommunications services, third party suppliers, non-reliable cyberattacks, force majeure or other facts outside the control of the Company.
16.2 Users, creators, locals and other third parties act independently in the relationships and activities that do not constitute services directly provided by WAYOUT. The Company assumes no obligations deriving from promises, bookings, payments or agreements concluded exclusively between such entities, subject to compliance with the law and liability of WAYOUT for information or activities directly attributable to the Company.
16.3 Verification, moderation, reporting, blocking and security tools reduce risks, but cannot ensure the identity, reliability or future conduct of users. WAYOUT does not carry out physical surveillance of meetings and is not an emergency service.
16.4 Interested persons decide whether to meet, go to a local, use means of transport, consume alcohol or continue relationships outside the platform. They must take caution and direct contact with the authorities or emergency services in case of danger.
16.5 No provision of these Terms excludes or limits the liability of WAYOUT or the rights of the User in cases where exclusion or limitation is prohibited by law, including gross negligence or fault, damage to the person directly attributable to the Company and other mandatory safeguards recognized to consumers.
17. Refused, suspended or removed from Waitlist
17.1 The validity and permanence of the registration assume the continuous ownership of the requirements provided by these Terms. Inscriptions based on false or incomplete data, duplicated, automated, unlawful or abusive, or inscriptions that compromise the security or integrity of the Site are not permitted.
17.2 When objective elements of irregularities emerge, WAYOUT can only take the necessary and proportionate measures to verify registration, prevent abusive use or exclude it from Waitlist. When reasonably possible and compatible with security, fraud prevention and legal obligations, the User receives a synthetic communication and may report any errors.
17.3 Removal of an invalid registration entails the loss of its position and of any free benefits not yet activated. Mandatory rights and rights relating to separate purchases, governed by their respective terms, remain unaffected.
18. Changes to the Site and Terms
18.1 WAYOUT may update these Terms for Site or Waitlist changes, technical or security needs, project evolution, regulatory changes or editorial clarifications. Updates apply for the future and must be consistent with the nature of the pre-launch service.
18.2 The updated version is published on the Site with its date. Merely formal changes, necessary by law or in favor of the User can have effect from publication.
18.3 Substantial changes affecting the location of already registered users are communicated with reasonable advance through the Site or email. Before their effectiveness, the User may request the cancellation from Waitlist without further consequences; when the law or nature of the change requires it, a new acceptance is required.
18.4 The amendments do not retroactively affect the rights already accrued, do not reduce the duration of benefits already activated and do not derogate from the mandatory safeguards of the consumer.
19. Privacy and cookies
The processing of personal data is governed by Privacy Policy of the Site. The use of cookies and similar technologies is described in Cookie Policy and managed by the preferred centre. These documents are distinct from these Terms and are permanently accessible from the footer of the Site.
20. Assistance, complaints and reports
20.1 For requests relating to the Site or Waitlist, cancellations, complaints or reports, you may write to amministrazione@wayoutapp.it. For formal communications can use the PEC wayout@pec.wayoutapp.it.
20.2 The User must provide sufficient information to identify the request and registration concerned, avoiding transmitting unnecessary data or third parties.
20.3 WAYOUT will examine requests in reasonable time, taking into account the nature and urgency of the case. The service channel is not an emergency service; in case of immediate danger, contact the competent authorities.
21. Applicable law, forum and final provisions
21.1. These Terms are governed by Italian law, without prejudice to the application of the mandatory norms possibly more favourable than the law of the country of habitual residence of the consumer.
2 For any dispute with a consumer user, the court of the place of residence or domicile of the consumer shall be competent, where required by applicable legislation. For users who do not act as consumers, the hole identified according to the ordinary rules remains competent, unless otherwise valid agreement.
21.3 Before ascribing to the judicial authority, the User is invited to contact WAYOUT at the addresses indicated in Article 20, without limiting the right to contact the Judge or alternate resolution bodies of disputes under the law.
2 If a provision is declared void, invalid or ineffective, the remaining provisions will continue to be effective. The provision concerned shall be interpreted or replaced, within the limits permitted, in a manner consistent with the original purpose and with the applicable legislation.
21.5. Failure to exercise a right is not a waiver of the right.
21.6 The Italian version is the reference version. Any translations are provided for convenience and, in case of divergence, the Italian version prevails, within the limits permitted by law.
22. Transparency and protection of the User
2-2.1 These Terms must be interpreted and applied in a manner consistent with the free nature of Waitlist, with contractual transparency and consumer protection legislation. The conditions affecting the registration or benefits are based on the objective requirements indicated in the document and do not attribute to WAYOUT arbitrary faculty.
2 No provision limits the User’s unquestionable rights. Any invalid, ineffective or abusive clauses shall not affect the consumer; In the event of an interpretative doubt, the most favourable interpretation of the consumer provided for in the applicable legislation applies.
